These Terms govern your use of marichemarketing.com and any services provided by Mariche Marketing LLC ("Mariche Marketing," "we," "us," or "our"). By using our website or engaging our services, you agree to these Terms. If you don't agree, please don't use our site or services.

Use of Our Website

You can use marichemarketing.com to learn about us, request a consultation, contact us, or sign up for our newsletter. When you do, you agree to:

• Provide accurate information
• Not use the site or services for illegal purposes
• Not interfere with site security, functionality, or other users
• Not scrape, copy, or republish our content without permission
• Not impersonate anyone or misrepresent your identity

Services and Engagements

If you become a client, the relationship is governed by a separate written Statement of Work (SOW) or Master Services Agreement (MSA) that you sign through Adobe Acrobat Sign. Those documents take precedence over these general Terms for matters they specifically address. Typical engagements include brand identity, website design and development, social media management, Google Business Profile optimization, and reputation management. Pricing, scope, deliverables, and timeline are defined in your SOW.

Intellectual Property

Our content. Everything on marichemarketing.com (logos, copy, images, design) is owned by or licensed to Mariche Marketing LLC. You may not copy, reuse, or republish it without written permission.

Your content. The work we create for you (logos, brand systems, website code, social content) becomes yours upon final payment, as defined in your SOW. We retain the right to display the work in our portfolio and case studies unless you specifically request otherwise.

Pre-existing assets. Any tools, templates, methodologies, or frameworks we use that pre-existed our engagement with you remain ours.

Consultations and Discovery Calls

Discovery calls are free and non-binding. Nothing said during a discovery call constitutes a legal contract or guarantee. Engagement begins only when you sign an SOW or MSA and pay the agreed deposit.

Payment Terms

Specific payment terms are defined in your SOW. Generally: a deposit is due on signing, the remaining balance is due per the SOW schedule, and monthly retainers are billed in advance. Late payments may incur fees and pause work. There are no refunds on completed work or on non-recoverable third-party fees (domain registrations, ad spend, paid subscriptions purchased on your behalf).

Third-Party Services

We use third-party platforms to deliver work, including cloud hosting, productivity, e-signature, and AI tools. When you engage us, you authorize us to use those tools as part of delivery, subject to their own terms. If a third-party service has an outage or limitation, we'll work to resolve it but cannot guarantee uninterrupted operation.

Disclaimers

• We can't guarantee specific business outcomes (rankings, conversions, revenue); too many variables outside our control affect those.
• Our services are provided "as is," without implied warranties of merchantability, fitness for a particular purpose, or non-infringement beyond what's required by law.
• We're not lawyers, accountants, or financial advisors. Nothing we provide is legal, tax, or financial advice.

Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim arising from our services or this website is limited to the amount you paid us in the 90 days prior to the claim.
• We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption, even if foreseeable.
• This limitation applies regardless of the legal theory of the claim.

Some jurisdictions don't allow these limitations; if you're in one, our liability is limited to the maximum extent allowed.

Indemnification

You agree to hold Mariche Marketing LLC harmless from any claim, damage, loss, or expense arising from your misuse of our website or services, content you provide to us, your violation of these Terms or any law, or your violation of any third party's rights.

Termination

Either party can terminate an engagement per the cancellation terms in the SOW. Generally, monthly retainers require 30 days' written notice from either party; project-based work follows the SOW. Provisions that by their nature survive termination (Intellectual Property, Limitation of Liability, Indemnification, Governing Law) continue to apply.

Governing Law and Disputes

These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules. Disputes will first be addressed through good-faith discussion; if unresolved within 30 days, they will be submitted to binding arbitration in Horry County, South Carolina, under the rules of the American Arbitration Association. Either party may seek injunctive relief in court for IP misuse or breaches of confidentiality.

Changes to These Terms

We may update these Terms from time to time. When we do, we'll update the Effective Date above. Continued use of our site after changes constitutes acceptance of the updated Terms.

Severability and Entire Agreement

If any part of these Terms is found unenforceable, the remaining parts remain in effect. These Terms, along with any signed SOW or MSA for clients, constitute the entire agreement between you and Mariche Marketing LLC regarding our website and services.
